1. Who you are contracting with

These Terms & Conditions ("Terms") are an agreement between you and Dr. Marcia Hawk, LLC ("we", "us", "the Seller"), the provider of the coaching, corporate training, and executive coaching sessions offered on this website (the "Service"). By booking a session or using the Service, you agree to these Terms.

2. The Service

The Service lets you view coach availability, book and pay for one-to-one coaching and premium corporate training or executive coaching sessions, and generate AI-assisted study plans. Sessions are delivered live by the coach at the booked time; all times shown are Eastern Time (ET).

3. Accounts

You are responsible for keeping your account credentials confidential and for all activity under your account. You must provide accurate information and keep it up to date.

4. Acceptable use

You must not misuse the Service. In particular, you must not:

• use the Service for any unlawful purpose, fraud, or spam;
• infringe anyone's intellectual property rights;
• interfere with the Service's security, introduce malware, probe or scan our systems, or scrape the site;
• reverse engineer, resell, or redistribute the Service, or circumvent technical limits such as booking or payment controls.

5. AI-generated content

The study-plan feature uses generative AI. You are responsible for the topics and goals you submit, for how you use the output, and for verifying its accuracy. AI output may be inaccurate or incomplete and is not a substitute for professional advice (legal, medical, financial, or otherwise). You must not use the AI features to produce illegal content, deepfakes, hate speech, or malware, or to attempt to bypass model safeguards. We may filter or refuse outputs and suspend accounts that repeatedly violate these rules.

6. Intellectual property

We retain all ownership of the Service and its intellectual property, including software, documentation, branding, and session materials we create. We grant you a limited, non-exclusive, non-transferable right to use the Service for your own learning within your purchased sessions. You retain ownership of content you provide; you grant us a limited license to host and process it solely to provide the Service.

7. Payments, billing, and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms, and refunds by our Refund Policy. A booking is only confirmed once payment succeeds; unpaid reservations may be released.

8. Service level

We do not guarantee that the Service will be uninterrupted or error-free. If a confirmed session cannot take place, we will offer a reschedule or a refund.

9. Suspension and termination

We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, your access ends; you may request an export of your data for 30 days, after which it may be deleted.

10. Disclaimers and liability

To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose. We are not liable for indirect, consequential, or special damages (including loss of profits, data, or goodwill). Our aggregate liability is capped at the fees you paid in the 12 months before the claim. Nothing in these Terms limits liability for fraud, death, or personal injury where the law does not allow it. You indemnify us against claims arising from your content, unlawful use of the Service, or breach of these Terms.

11. General

These Terms are governed by the laws of the State of Georgia, USA, and disputes will be heard in its courts. You may not assign these Terms without our consent; we may assign them in connection with a merger or acquisition. We are not liable for delays caused by events beyond our reasonable control. If any clause is unenforceable, the rest remain in effect.
